END USER LICENSE AGREEMENT (EULA) Effective Date: [Date] Platform: Udibawa (Website & Mobile Application) Governing Law: Indian Contract Act, 1872 | Information Technology Act, 2000 PLEASE READ THIS END USER LICENSE AGREEMENT CAREFULLY BEFORE USING THE UDIBAWA APPLICATION OR WEBSITE. This End User License Agreement (“Agreement”) is a legal agreement between you (“User”/“You”) and Udibawa Pvt. Ltd. (“Company”/“We”/“Us”) governing your use of our digital platforms – including but not limited to the Udibawa website, customer app, service engineer app, distributor app, sales app, and manufacturer portal (collectively, the “Platform”). 1. LICENSE GRANT Udibawa grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Platform solely for the purposes described under this agreement in accordance with applicable Indian laws. 2. ELIGIBILITY You must be at least 18 years of age and competent to enter into a binding contract under Indian law. If you are representing an organization (e.g., service centre, manufacturer), you confirm you have authority to bind the entity. 3. USER TYPES This license applies to different types of users: Customer Freelancer Service Engineer Service Centre Distributor Manufacturer Sales Person Each user must use the Platform only for the intended functions applicable to their role. 4. ACCOUNT CREATION & SECURITY Users are responsible for maintaining the confidentiality of their login credentials. Any activity under your account shall be deemed to be carried out by you. You must promptly notify us of unauthorized use or breach. 5. USAGE CONDITIONS You agree not to reverse engineer, decompile, or disassemble the Platform. You may not copy, modify, or create derivative works of the software. You shall not use the Platform for any unlawful or unauthorized purpose. 6. SERVICE PUBLISHING & BIDDING (FOR CUSTOMERS) Customers may publish service requirements. Service providers (freelancers or service centres) may bid on published tasks. Final selection is at the customer’s discretion. 7. TRANSACTIONS & PAYMENTS Udibawa facilitates payments between customers and service providers. Service centres and engineers are subject to cash collection limits. Users are responsible for applicable taxes as per Indian law. Where In certain special circumstances the customer wants to pay only though Online mode then such customer can do so. 8. SECURITY MONEY & DRESS CODE Service providers may be required to submit a security deposit. Identity cards and uniforms may be issued and are chargeable. 9. WARRANTIES & REPRESENTATIONS Udibawa provides the Platform "as is" without warranties of any kind. We do not guarantee the quality or performance of services offered by third parties. If the customer wants to get something replaced by the service centre or a freelance service engineer and purchased the parts from such authorised service centre or freelancer oly then Udibawa will provide service for that particular problem free of cost. If the customer purchases the part themselves from the market and gives it to the engineer, and the engineer fits it, then Udibawa or the service centre or freelance engineer will not take responsibility for that problem. 10. TERMINATION Udibawa may suspend or terminate your account if you violate this Agreement or applicable laws. Upon termination, all rights granted to you under this EULA will cease. 11. PRIVACY & DATA Your data is governed by our Privacy Policy, drafted in strict compliance with the Digital Personal Data Protection (DPDP) Act, 2023. By continuing to use the Platform, you provide explicit consent to data processing for intended services. However, you retain the absolute right to withdraw this consent and request the erasure of your personal data at any time without facing any discrimination. 12. INTELLECTUAL PROPERTY All content, logos, software, databases, and marks on the Platform are the intellectual property of Udibawa and protected under applicable IP laws. 13. LIMITATION OF LIABILITY Udibawa shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Platform. 14. DISPUTE RESOLUTION All disputes shall be subject to arbitration in accordance with the Arbitration and Conciliation Act, 1996. The seat of arbitration shall be [City], India. 15. MODIFICATIONS Udibawa reserves the right to modify this Agreement at any time with prior notice. Continued use of the Platform after changes signifies acceptance.
